• Any monies payable by the User to the Company are not paid on the due date; or
• A complaint is received by the Company from another User or a third party and necessary action to resolve the complaint is not taken within 10 (ten) days by such User. Company may at any time at its sole discretion reinstate suspended Users. User(s) that has been indefinitely suspended may not register or attempt to register with Company or use the Site in any manner whatsoever until such time that such User is reinstated by Company. Notwithstanding the foregoing, if the User breaches the Agreement or the documents it incorporates by reference, Company reserves the right to recover any amounts due and owing by the User to Company and to take strict legal action including but not limited to initiating criminal proceedings against the User in this regard.

Privacy:

The Company stores temporarily or as an intermediary, User information on computers that are protected by physical as well as technological security devices. Company records the IP address(es) of each User of the Site and tracks its Users by the use of ‘Click stream cookies’, inter-alia in compliance with statutory laws and regulations and for security reasons. If the User objects to any of this please do not use the Site.

Notice shall be deemed given 24 hours after email is sent, unless the sending Party is notified that the email address is invalid. Alternatively, the Company may give the User notice by certified mail, postage prepaid and return receipt requested, to the address provided to us during the registration process. In such case, notice shall be deemed given 3 (three) days after the date of mailing.

Terms & Conditions For Website Development Services:
1. Introduction
These terms and conditions govern the provision of website development services (“Services”) by 1Click Distributors to company (who is looking for services). By engaging with 1Click Distributors for website development services, you agree to be bound by these terms and conditions.
2. Services
1Click Distributors agrees to provide website development services as agreed upon in writing between both parties. This includes but is not limited to website design, development, maintenance, and related services, as outlined in the project proposal or contract.
3. Client Responsibilities
The client agrees to provide all necessary materials, content, and feedback in a timely manner to facilitate the completion of the project. Delays caused by the client may result in project timeline extensions and additional charges.
4. Payment
Payment terms will be as agreed upon in the project proposal or contract. A deposit may be required minimum 50% amount before work commences, and remainder due upon completion of website/services. Failure to make timely payments may result in the suspension or termination of services.
5. Changes and Revisions
Changes and revisions to the project scope must be communicated in writing and may result in additional charges. 1Click Distributors reserves the right to refuse any request for changes or revisions that fall outside the agreed scope of work.
6. Intellectual Property
Upon full payment, 1Click Distributors grants the client a non-exclusive license to use the completed website and its content. Until full payment is received, all rights to the website and its content remain with 1Click Distributors.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.
8. Limitation of Liability
In no event shall 1Click Distributors be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the services provided.
9. Termination
Either party may terminate the agreement with written notice if the other party breaches any material term of the agreement. Upon termination, the client is responsible for payment for all services provided up to the date of termination.
10. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of Noida Uttar Pradesh Jurisdiction Only.
11. Entire Agreement
These terms and conditions constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether oral or written.
12. Amendments
13. 1Click Distributors reserve the right to amend these terms and conditions at any time. Any amendments will be effective immediately upon posting on our website or other notification to clients.
14. By engaging with 1Click Distributors, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
15.. In addition to the terms and conditions set forth in the proforma invoice, and unless repugnant to the meaning or context thereof, the Advertiser hereby agrees and acknowledges that the User Agreement/Terms and Conditions, as reproduced on the 1clickdistributors.com
Website ‘1clickdistributors.com’ (“T & Cs”) are applicable to this proforma invoice and are deemed to be incorporated herein by reference. In the event of any conflict or inconsistency between this proforma invoice and the “T & Cs”, the latter shall prevail.
16. All correspondence to the Advertiser shall be sent to the address set forth overleaf and all correspondences to the Company should be addressed to our Registered Office.

• All complaints to the Grievance Officer shall be made in writing giving a detailed description of the complaint/grievance of the User.
• The Grievance Officer shall redress all complaints within one (1) month from the date of receipt of complaint.

 

Arbitration:

• Any dispute arising out of or in connection with or relating to the meaning, interpretation this Agreement, including a dispute regarding the existence, validity or termination of the Agreement (between a User(s) and the Company) or the documents it incorporates by reference or the consequences of its nullity, which cannot be amicably settled or resolved by the Grievance Officer within thirty (30) days of the date of such dispute arising, shall be referred to any finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (or any statutory amendment or modification thereto). The arbitration shall be conducted in accordance with the Rules of Delhi High Court Arbitration Centre.
• The arbitration shall be conducted by a Sole Arbitrator. All proceedings in any such arbitration shall be conducted in English. The venue of the arbitration proceedings shall be New Delhi.
• The arbitral tribunal shall give a reasoned award and the same shall be final and binding on the Parties and the Parties agree to be bound thereby and to act accordingly. The arbitrator shall be free to award appropriate costs. The arbitration award shall be enforceable in a competent court.
• It is clarified that disputes between User(s) inter-se or between User(s) and third parties are not covered by this clause.

Governing Law and Jurisdiction:

• This Agreement and any dispute or matter arising out of or in connection with and/or incidental to the use of the Site and/or the Services shall be governed by the laws of India without regard to its conflict of laws provisions.
• The User and the Company hereby irrevocably submit to the sole and exclusive jurisdiction of the courts at Delhi, India.
• This document is an electronic record in terms of the Information Technology Act, 2000 and the provisions pertaining to electronic records in various statues amended by the Information Technology Act, 2000.
